1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of the websites, browser extension, applications, and related services (collectively, the “Digital Properties”) operated by ButterKnife LLC (“ButterKnife,” “we,” “us,” or “our”).
By accessing or using the Digital Properties, you agree to be bound by these Terms and our Privacy Policy . If you do not agree, you must not access or use the Digital Properties.
2. Description of Services
ButterKnife provides a platform that enables users to manage, control, and, at their discretion, sell search history and related browsing-derived data (“Search History Data”) through a peer-to-peer marketplace (the “Marketplace”).
ButterKnife acts solely as a technology platform and does not purchase, own, or resell user data.
3. Eligibility
You must be at least 18 years old to use the Digital Properties. By using the Digital Properties, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
4. User Accounts
You are responsible for:
- Maintaining the confidentiality of your account
- All activities under your account
You agree to provide accurate and complete information. ButterKnife reserves the right to suspend or terminate accounts at its discretion.
5. Marketplace Participation
5.1 Sellers
Sellers may list and sell Search History Data. By doing so, Sellers acknowledge that:
- Disclosure is voluntary
- Data may be sensitive
- Data cannot be retrieved once transferred
5.2 Buyers
Buyers agree to:
- Use data lawfully
- Comply with all applicable regulations
- Assume full responsibility for data usage
6. User Responsibilities
You agree not to:
- Violate any laws
- Upload prohibited or unlawful content
- Misrepresent data
- Engage in fraud or abuse
- Interfere with system operations
7. Intellectual Property
7.1 ButterKnife IP
All platform technology and materials are owned by ButterKnife and protected by law.
7.2 User Data
You retain ownership of your data but grant ButterKnife a limited license to operate the platform.
8. Marketplace Risks, Disclaimers, and User Acknowledgments
8.1 Platform Role
ButterKnife is a neutral intermediary and does not control or verify Marketplace content.
8.2 Seller Risk Acknowledgment
Sellers acknowledge:
- Data may include highly sensitive information
- Disclosure is irreversible
- Buyers may retain and reuse data
- ButterKnife cannot control downstream use
SELLERS ASSUME ALL RISKS OF DISCLOSURE.
8.3 Buyer Risk Acknowledgment
Buyers acknowledge:
- Data may be inaccurate or incomplete
- ButterKnife makes no warranties
- Legal compliance is the Buyer’s responsibility
BUYERS ASSUME ALL RISKS OF USE.
8.4 No Liability for User Conduct
ButterKnife is not liable for:
- Misuse of data
- User disputes
- Unauthorized redistribution
8.5 No Monitoring Obligation
ButterKnife may monitor but has no obligation to do so.
8.6 Regulatory Disclaimer
Users are solely responsible for compliance with:
- Privacy laws
- Data protection regulations
- Advertising laws
8.7 Assumption of Risk
YOU ASSUME ALL RISKS ASSOCIATED WITH MARKETPLACE PARTICIPATION AND WAIVE CLAIMS AGAINST BUTTERKNIFE.
8.8 High-Risk Data Warning
THE MARKETPLACE MAY INVOLVE DISCLOSURE OF HIGHLY SENSITIVE INFORMATION.
8.9 Limitation of Role
ButterKnife is not:
- A data broker
- A fiduciary
- Responsible for user agreements
9. Payments
Payments are processed via third-party providers (e.g., Stripe). ButterKnife is not responsible for third-party payment issues.
10. Privacy
Your use of the Digital Properties is governed by our Privacy Policy .
11. Termination
ButterKnife may suspend or terminate access at any time.
12. Disclaimers
THE DIGITAL PROPERTIES ARE PROVIDED “AS IS.”
NO WARRANTIES ARE PROVIDED.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUTTERKNIFE SHALL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.
14. Indemnification (Marketplace-Specific)
You agree to defend, indemnify, and hold harmless ButterKnife from any claims arising out of:
- Your use of the platform
- Any data you sell, purchase, or disclose
- Violations of law
- Data misuse or redistribution
- Intellectual property or privacy violations
- Disputes with other users
This obligation survives termination.
15. Marketplace Policy (Incorporated by Reference)
Your use of the Marketplace is also governed by the ButterKnife Marketplace Policy / Acceptable Use Policy, which is incorporated into these Terms by reference.
16. Modifications
ButterKnife may modify these Terms at any time.
17. Governing Law
These Terms are governed by the laws of Delaware.
18. Dispute Resolution
Disputes shall be resolved by binding arbitration in Delaware, unless otherwise required by law.
